Ms Aloke was an associate with a leading law firm in India prior to joining Afridi & Angell in 2013. She spent two years at Afridi & Angell then rejoined the firm in 2016 after working with another leading law firm in India.

He advises clients in domestic and cross border transactions in connection with acquisitions, divestitures, and corporate restructuring matters. Mr Asghar has extensive experience in drafting and negotiating various legal documents including sale and purchase agreements, joint venture agreements, licensing agreements and distribution agreements, as well as conducting numerous high-end due diligence reports.

Mr Asghar also has a wealth of experience representing clients in contentious matters involving construction disputes relating to energy projects. 

Prior to joining Afridi & Angell in 2016, Mr Asghar worked as an associate with two leading law firms in Pakistan.

Mr Bakri advises clients on all aspects of corporate transactions, represents clients before governmental departments and agencies. His broad areas of expertise include:

  • advising on company formations in the UAE including the free zones;
  • mergers and acquisitions advice and drafting corporate resolutions for share transfer;
  • drafting various commercial agreements and assisting businesses on a regular basis thereafter;
  • drafting and reviewing employment contracts, and advising on terminations and end-of-service benefits;
  • assisting with personal status and money matters of Muslims and non-Muslims in the Shari’a and Personal Status Court;
  • preparing and filing criminal cases; and
  • handling criminal investigations with the police and public prosecution department.

Mr Bakri joined Afridi & Angell in 2009. Prior to joining Afridi & Angell, Mr Bakri was working in the legal department of Sharjah Airport International Free Zone, where he practised the rules and regulations of Free Zone Companies including the formation and liquidation of companies, and provided legal consultation at management and investor level.

Mr Bakri has a wide network of contacts and developed strong relationships within various governmental entities including the UAE Central Bank, the Department of Economic Development, chambers of commerce across the UAE, as well as the various UAE free zones.

Mr Bakri's strong contacts and fluency in Arabic along with his technical skills and understanding of local laws and regulations, have proven invaluable for clients in virtually all their corporate and commercial transactions.

Mr Bandara was a member of the legal team that represented one of the international banks at the ICSID Arbitration in an Oil Hedging dispute.

Prior to joining Afridi & Angell in 2016, Mr Bandara was in the private bar of Sri Lanka and was employed as a Counsel at one of the leading law firms in Sri Lanka, whilst simultaneously practicing in the Law Chambers of Mr Prasanna Jayawardena, President’s Counsel. He was also a visiting lecturer in Business Law at the Institute of Chartered Accountants of Sri Lanka and an examiner at the Sri Lanka Law College.

Mr Dar joined Afridi & Angell in 2011. His practice includes banking and finance, mergers and acquisitions, and general corporate matters. He has advised companies and financial institutions on a range of financing transactions, including conventional and Islamic finance. He has extensive experience of working with bank Shari’a and Fatwa supervisory boards, and independent Shari’a scholars, in structuring a variety of Islamic financing transactions (including Istisna’a, Ijara, Murabaha, Musharaka and Mudaraba). Mr Dar has also advised local and overseas companies on a range of corporate and capital markets transactions including cross-border acquisitions, disposals, joint ventures, distribution and IPOs.

  • Advised the Government of Sharjah on a KWD30 million term loan facility.
  • Advised Abu Dhabi Commercial Bank on the restructuring of its AED1.1 billion term loan facility to a local property developer.
  • Advised the Sharjah Electricity and Water Authority on a US$350 million syndicated facility, US$250 million dual-tranche facilities (Term Loan and Master Murabaha), and the restructuring of US$150 million Islamic facilities.
  • Advised Malabar Gold and Diamonds on an AED300 million multicurrency term loan facility.
  • Advised a syndicate of Islamic banks on AED290 million dual-tranche facilities (Term Loan and Master Istisna’a / Master Ijara), to finance the building of a new hospital and medical university.
  • Advised a syndicate of banks on the restructuring of AED295 million dual-tranche facilities (Term Loan and Ijara) to three UAE companies.
  • Advised Ajman Bank on the restructuring of its AED75 million Islamic tranche facility (part of a Term Loan and Master Sukuk Murabaha dual-tranche facility) to a European company.
  • Advised a syndicate of banks  (including an Islamic bank) on AED254 million dual-tranche facilities (Term Loan and Master Sukuk Murabaha) to finance the construction of a hotel in Dubai.
  • Advised a syndicate of banks on a US$75 million and an AED55 million dual-tranche facilities (Term Loan and Master Sukuk Murabaha) to finance the construction of a PTP plant in Belgium. 
  • Advised a syndicate of banks on an AED150 million term loan and an AED195 million revolving working capital facility to Dubai Wire FZE and Global Fasteners Limited.
  • Advised various banks including Abu Dhabi Commercial Bank, Emirates NBD, Noor Islamic Bank, Al Hilal Bank and National Bank of Fujairah on ship financing transactions. 

Mergers and Acquisitions

  • Advised a BVI company on the proposed sale of its coal mining operations in Indonesia to the investment arm of the government of Ras Al Khaimah, for a combined consideration of US$150 million. 
  • Advised Allied Healthcare International Inc. on its US$73 million acquisition of Southern Cross Healthcare Group and its US$18 million acquisition of Midland Healthcare Limited.
  • Advised CintiTech AG on its GBP30.5 million acquisition of Thermopol International Limited (a high-performance silicon producer with operations in the UK, USA, Norway and Korea).

Capital Markets

  • Advised the Damac Group on its US$1.2 billion IPO of global depositary receipts on the main market of the London Stock Exchange.
  • Advised the Damac Group on its IPO on the Dubai Financial Market.
  • Advised Indian property developer Ishaan Real Estate plc on its GBP207 million IPO on AIM.
  • Advised mining company Noventa Limited on its GBP8 million IPO on AIM.
  • Advised the Local Radio Company plc and Taylor Nelson Soferes plc on their "cashbox placing", raising an aggregate of GBP14.8 million.
