  • Advised the DIFC branch of a major bank in relation to undertaking arranging custody services and, escrow bank services for real estate projects.
  • Advised an Oman based investor in relation to the acquisition of an ADGM based Category 3C license holder.
  • Advised a major Russian steel and metals company’s DIFC-based holding company in relation to their internal restructuring.
  • Advised Axis Bank in relation to a term loan to Jio Digital Fibre Private Limited inter alia for capital expenditure.
  • Advised Cisco Systems Inc. and Cisco Commerce India Pvt. Ltd. in relation to establishing a master receivables financing program in India with Deutsche Bank AG, Bangalore Branch backed by credit support from various Cisco entities overseas.
  • Advised BMW India Financial Services Private Limited in relation to establishing a commercial paper financing program with Citibank N.A., Mumbai Branch.
  • Advised Reliance Nippon Asset Management Company in relation to subscription to non-convertible bonds issued by Lendingkart Finance Limited.
  • Structured and documented the first-ever funded risk participation agreement in India of USD 29 million for a major domestic bank and analysed whether it constitutes a credit derivative.
  • Assisted a major investment bank in transacting a structured convertible bond deal for USD 50 million for a blue-chip company in India.
  • Prepared offer documents and listing agreements for Infrastructure Development and Finance Corporation in its issue of USD 680 million tax-saving bonds. This was the first ever public issue of tax saving bonds by an infrastructure finance company.

About

Anshuman’s practice focuses on banking and finance. He has extensive experience in advising corporations and financial institutions on laws governing Dubai International Financial Centre, Abu Dhabi Global Markets and Central Bank of the UAE.

 

Prior to joining Afridi & Angell, Anshuman was an associate in the banking and finance practices of a leading regional law firm in the UAE and in one of India’s leading law firms, where he gained extensive experience across a broad range of banking and finance matters. His experience includes general lending (both term and working capital), project financing, securitisations, factoring, and financial regulatory advisory. He is regularly involved in advising on and providing enforceability opinions regarding security interests provided by UAE companies for various types of financings.

 

In addition to banking and finance, Anshuman has been involved in a number of significant corporate matters, most notably advising Reliance Brands Limited in its acquisition of the Lenscrafters and Sunglass Hut businesses from DLF Limited and subsequent franchise agreement with Essilor Luxottica. He also advised Reliance Brands in its acquisition of Hamleys & Co., its India joint venture with Tiffanys & Co., and in its franchise arrangement with Sephora.
