Advised the shareholders of a British curriculum private school based in Dubai in the sale of an 80 percent stake to a GCC private equity firm for AED 200 million. Assisted on verification of warranty disclosures, reviewing and revising the share purchase agreement, the shareholders agreement, and a management agreement.
Acted as legal counsel to a high profile UAE group in the US$100 million sale of a group of three related schools in the Emirate of Sharjah. The seller will continue to own the property on which the schools are built and lease the property to the purchaser as part of the completion requirements.
Acted as legal counsel in relation to several matters such as the acquisition and operation of the Kindergarten Starters Nursery School, setting up and licensing of the Modern High School, the establishment of a school in Fujairah, the licensing of the Cambridge High School and the American Academy in Abu Dhabi, performance of management agreements for government schools in Abu Dhabi, and advice in relation to real estate matters in connection with all of the foregoing.
Advised New Dubai Nursery in relation to the agreement for operation of the nursery school.
Advised a syndicate of banks on AED 290 million dual-tranche facilities (Term Loan and Master Istisna’a / Master Ijara) to finance the building of a new hospital and medical university.
